1. Agreement and acceptance

These Terms of Service (the “Terms”) govern all freight forwarding, logistics, and related services provided by Moziano Group LLC, operating as SGK Global Shipping Services, and by SGK Ocean Lines Corporation, operating as Star Ocean Export (each and together, “SGK,” “we,” or “us”) to any customer, shipper, or consignee who requests a quotation, tenders cargo, or makes a booking (“you” or the “Customer”). By requesting services, tendering cargo, or paying an invoice, the Customer accepts these Terms.

2. Services

SGK arranges international freight forwarding as a licensed non-vessel-operating common carrier (NVOCC) and forwarder, including ocean freight (FCL, LCL, RoRo, breakbulk, and consolidation), air freight (express, economy, charter, and project air), project and heavy-lift cargo, procurement, warehousing and storage, packaging and crating, customs coordination, and door-to-door delivery, principally on lanes from Houston, Texas to West and Central Africa, East and Southern Africa, MENA and the Gulf, the Caribbean, and South America. SGK arranges carriage on the vessels and aircraft of underlying carriers; it does not itself operate vessels or aircraft.

3. Quotations and bookings

Quotations are based on the information the Customer provides and on rates, space, and conditions available at the time of quoting. Quotations are estimates and are valid only for the period stated; they may be revised if cargo particulars, weights, dimensions, commodity, routing, or applicable carrier or third-party charges differ from those quoted. A booking is confirmed only when SGK issues a written booking confirmation. Rates exclude duties, taxes, customs charges, inspection or demurrage fees, and other governmental or third-party charges unless expressly stated.

4. Rates, charges, and payment

  • Invoices are due and payable in U.S. dollars in accordance with the terms stated on the invoice.
  • Except where credit terms are expressly agreed in writing, payment is due before cargo is released for shipment or before delivery. SGK may withhold release, delivery, or documents until all sums owing are paid in full.
  • Card payments are accepted for the Customer’s own shipping charges. SGK invoices its own customers for its own services as principal and does not collect or process payments on behalf of any third party.
  • The Customer is responsible for all duties, taxes, and third-party charges, and for any bank, card, or currency-conversion fees applicable to a payment.
  • Amounts not paid when due may be subject to interest and to storage, demurrage, and collection costs.

5. Cancellation and refund policy

This section governs cancellations and refunds and applies to all bookings, including those paid by card.

  • A booking may be cancelled by written notice to SGK before cargo has been shipped, exported, consolidated, or dispatched to an underlying carrier.
  • Where a booking is cancelled before any service has been performed and before third-party costs have been incurred, SGK will refund amounts paid, less any non-recoverable third-party charges already committed (for example carrier, warehouse, crating, or customs charges) and less a reasonable administrative fee where applicable.
  • Once cargo has been shipped, exported, loaded, or otherwise dispatched, the freight and services are considered performed and are non-refundable.
  • Duties, taxes, customs charges, demurrage, storage, and other governmental or third-party charges are non-refundable once incurred.
  • Approved refunds are issued to the original method of payment. Card refunds are returned to the card used for the payment.
  • Refund requests must be submitted in writing to ship@sgkglobal.com and will be reviewed against the booking record and any third-party costs incurred.

6. Customer responsibilities

The Customer warrants that all information it provides — including the identity of shipper and consignee, cargo description, weight, dimensions, value, and the nature of the goods — is complete and accurate. The Customer is responsible for ensuring goods are properly described and, unless SGK is engaged to pack or crate them, properly packed and labeled for international transport, and for providing all documentation required for export, transit, and import.

7. Prohibited and dangerous goods

The Customer must not tender goods that are illegal, prohibited for export or import, or restricted, and must declare in advance any hazardous, dangerous, or regulated goods so that they can be handled in accordance with applicable regulations. SGK may refuse, hold, or dispose of any cargo that is undeclared, misdeclared, prohibited, or unsafe, at the Customer’s risk and expense.

8. Sanctions and export compliance

SGK screens parties to each shipment against applicable U.S. sanctions and denied-party lists and complies with U.S. export-control and reporting requirements, as set out in its AML & Sanctions Compliance Policy. SGK does not arrange shipments to, from, or through embargoed or prohibited jurisdictions. The Customer agrees to comply with all applicable sanctions and export-control laws and to provide any information required for compliance screening.

9. Cargo value, insurance, and liability

Cargo insurance is not included unless the Customer requests it in writing and it is confirmed and paid for. Unless a higher value is declared in writing and additional charges are paid, SGK’s liability for loss of or damage to cargo is limited to the limits provided under the applicable transport documents, carrier terms, and international conventions governing the carriage. The Customer is responsible for declaring the correct value of the goods.

10. Limitation of liability

To the maximum extent permitted by law, SGK is not liable for indirect, incidental, consequential, or special damages, including loss of profit or business, arising from delay, loss, damage, or non-delivery. SGK is not responsible for the acts, omissions, delays, or insolvency of underlying carriers, customs authorities, or other third parties, or for events beyond its reasonable control.

11. Claims

The Customer must give SGK written notice of any claim for loss, damage, or delay promptly after the Customer becomes aware of it and within the time limits required by the applicable transport documents and conventions, and in any event without undue delay. Failure to give timely notice may bar the claim. No claim will be considered until all charges owing to SGK are paid in full.

12. Warehousing and storage

Cargo received at SGK’s facility is held on a short-term basis pending consolidation, export, or delivery. Storage beyond any free period agreed may incur storage charges. SGK does not take title to goods it stores or handles, which remain the property of the shipper or its principal at all times.

13. Indemnification

The Customer agrees to indemnify and hold SGK harmless from any claims, fines, penalties, duties, taxes, or costs arising from inaccurate or incomplete information, misdeclared or prohibited goods, breach of these Terms, or violation of applicable law by the Customer.

14. Force majeure

SGK is not liable for any failure or delay in performance caused by events beyond its reasonable control, including acts of God, weather, port or carrier disruption, strikes, war, civil unrest, government action, sanctions, or carrier cancellations.

15. Governing law

These Terms are governed by the laws of the State of Texas and the applicable laws of the United States, without regard to conflict-of-laws principles. The state and federal courts located in Harris County / Fort Bend County, Texas have exclusive jurisdiction over any dispute arising under these Terms, subject to any mandatory provisions of the transport documents.

16. Amendments and contact

  • You will receive transactional shipment and account notifications, including warehouse receipt confirmations, shipment status updates, invoice and payment confirmations, and cargo release notifications.
  • Message frequency varies with your shipment activity — typically 2–6 messages per shipment.
